Job description

This is a unique opportunity to work within an expanding global shipping organisation and have responsibility for the governance and company secretarial support for over 100 overseas subsidiaries and entities.

You will be joining a fast growing business, yet be working in a small and extremely friendly team. This role will afford you variety, autonomy, intellectually challenging work and international exposure.

Key responsibilities for this role will include:

  • Provision of governance and company secretarial support to 100+ overseas subsidiaries and other teams as required.
  • Drafting UK documents, or coordinating with external parties on drafting of documents for overseas subsidiaries, such as minutes and resolutions, powers of attorney, bank account mandates etc.
  • Arranging circulation and signature by directors together with notarisation and apostillisation, if applicable.
  • Maintaining the Group Structure Chart, Group company information and ensuring that all information uploaded to Diligent Entities (platform for managing legal entities) is accurate at all times. Ensuring information/documents uploaded to internal Sharepoint is accurate at all times.
  • Arranging Know Your Client (KYC) documentation and liaising with private equity owners for various providers, advisers and banks.
  • Assisting General Counsel to advise directors on their duties and responsibilities and ensuring they are compliant with the statutes, constitutional documents and company's internal governance policies.
  • ·Supporting Group Legal where required as Secretary to Committees - includes organising and preparing agenda, papers for Board and Committee meetings, drafting resolutions and following up on actions.

To be considered for this role you will have:

  • ACG/ICSA qualification as a company secretary
  • prior practical company secretarial experience, ideally of 5 PQE +
  • Experience working in overseas subsidiary management
  • a methodical with attention to detail and accuracy.
  • a confident and professional manner when dealing with all levels of management and be a team player.
  • a positive and motivated approach to your work
  • be a fast learner with a flexible approach.
  • to be able to work independently, take responsibility for decision making and manage own workload (with support from other team members where needed).
