Assistant Company Secretary

London | Hybrid

to £55,000 + 25% bonus + excellent benefits

12 month fixed term contract

If you are a Corporate Governance professional with strong entity management experience, then this 12 month contract could be an interesting project, working with a friendly collaborative team in an organisation that have a great approach to work life balance.

Working 2 days a week in the office, the rest remotely, you will be part of a small team focused on the coordination and completion of all company secretarial duties for investment special purpose vehicles ("SPVs").

There are a range of duties, including :

  • Assisting in appointment/resignation of directors, the incorporation, registration & dissolution of entities, including for overseas entities, liaising with third party providers in the relevant jurisdiction.
  • Responsibility for the maintenance and updating of data, records and company trees in Diligent, our entities management system.
  • Organising board meetings as required, ensuring appropriate timetabling per the annual planner.
  • Preparing board papers, board minutes and written resolutions for both ad hoc and routine matters.
  • Attending and minuting board meetings as required and fulfilling all company secretarial responsibilities regarding their approval.
  • Preparing the statutory returns or overseeing compliance by third party company secretarial providers in the relevant jurisdiction.
  • Assisting in the review of statutory accounts ensuring proper process for approvals is followed.

For this role you will need to be available to start a role by 6th October and be able to showcase your corporate governance experience (Qualified or Part Qualified) in :

  • Entity management ideally of SPVs or managing a mixed portfolio of companies
  • Excellent knowledge and experience of using Blueprint and Diligent
  • Superb organisational skills
  • Stakeholder management skills
